1.招标条件
上海赛科石油化工有限责任公司OSBL新增废水缓冲罐项目已由中国石化集团批准建设，招标人为上海赛科石油化工有限责任公司，招标代理机构为上海建和工程咨询有限公司，建设资金来自企业自筹。上海赛科石油化工有限责任公司OSBL新增废水缓冲罐项目工程详细设计、采购、施工(EPC)总承包已具备招标条件，现进行项目招标。
2.项目概况与招标范围
2.1招标项目名称：上海赛科石油化工有限责任公司OSBL新增废水缓冲罐项目。
2.2建设地点：上海市化学工业区。
2.3建设规模：
(1)在既有的含氰废水回用处理场内增加2x17000m3废水缓冲罐，年运行时间8000h，并与既有的全厂废水管线、含氰废水回用装置进行相应对接;
(2)配套辅助设施。
2.4建设投资：人民币3652.53万元。
2.5 标段划分：1个标段。
2.5计划工期：2017年10月25日开工，2018年9月30日具备投用条件(含设计周期)。
3.投标人资格要求
3.1投标人应具备以下基本资格条件
(1)在中华人民共和国境内注册的独立法人，注册资本金15000万元及以上;
(2)持有行政主管部门核发的以下资质证书：
① 住房和城乡建设部核发的综合甲级设计资质证书;
②国家质量监督检验检疫总局颁发的特种设备压力管道(GC1);
③ 国家质量监督检验检疫总局颁发的特种设备(压力容器)设计许可证(A1、A2、A3级);
(3)持有有效的质量管理、环境管理、职业健康安全管理体系认证证书;
(4)同时拥有以下三方面业绩：
① 2012年以来储罐区EPC总承包业绩(以签约时间为准);
②2012年以来石油化工企业含氰废水处理和回用项目EPC总承包或工程设计业绩(项目总投资不低于1亿元人民币，以签约时间为准);
③有大型石油化工联合装置公用工程EPC总承包业绩。
(5)财务状况良好，具有足够资产及能力并有效地履行合同;
(6)近三年来未发生骗取中标、严重违约等不良行为，无较大及以上工程安全、质量事故。
3.2本次招标不接受联合体投标。
3.3本次招标对投标人的相关人员资格要求如下：
(1)项目经理具备机电安装专业一级注册建造师执业资格并且具备高级及以上技术职称(注册于投标人单位)，2012年以来有储运或罐区项目经理执业业绩(以签约时间为准);
(2)设计负责人具备高级及以上技术职称，2012年以来有储运或罐区项目设计负责人执业业绩(以签约时间为准);
(3)施工负责人具备建筑施工企业项目负责人安全生产考核合格证书(B证)(注册于投标人单位)，2012年以来有储运或罐区项目施工负责人执业业绩(以签约时间为准)。
(4)安全负责人具备注册安全工程师执业资格(注册于投标人单位)或地方政府、机构安全生产管理人员合格证书，2012年以来有储运或罐区项目安全负责人执业业绩(以签约时间为准);
(5)采购负责人持有中级及以上技术职称证书，2012年以来有储运或罐区项目采购负责人执业业绩(以签约时间为准);
3.4 在大型石油化工联合装置公用工程项目承担过项目管理(PMC)、项目设计的投标人优先;
3.5本次招标资格审查方式：资格后审。
4.招标文件及相关资料获取
4.1凡有意参加投标者，请按照以下时间、地点获取招标文件：
(1)获取时间：报名单位可在2017年09月19日~2017年09月23每日上午9：30—11：00、下午13：30—15：30携带报名资料到招标代理机构报名，获取招标文件时间另行通知，标书费用：1000元/本，逾期不候。

4.2获取招标文件时需提交的证件(复印件须加盖投标人法人公章)：
(1)本招标公告;

(5)税务识别号;

5.投标保证金
5.1招标人要求投标人提交投标保证金。
5.2投标保证金金额：人民币捌拾万元整(中国石化集团有相关规定的投标人除外)。
5.3投标保证金可采用银行保函、银行电汇的形式，以银行电汇形式提交的投标保证金应当从其基本账户转出。
5.4建议投标人优先采用银行保函形式提交投标保证金。

Letter of Undertakings on Confidentiality
鉴于 Whereas,
1) 立约方将与上海赛科石油化工有限责任公司(以下简称赛科)发生
联系(请填写签署本承诺书的原因);
Promiser will (please insert the reason for which this letter will be executed.)
2) 立约方理解和同意，在从事上述工作的过程中，立约方将有机会被提供或接
触到对赛科具有技术和商业价值的保密信息。
Promiser understands and agrees that, during the process of the foregoing service,Promiser will have the opportunity to be furnished with and/or get access to SECCO’s Confidential Information, which is of technical and commercial value to SECCO.
因此，立约方同意接受下列条款的约束，并保证在使用或披露其从赛科直接或间
接获得的保密信息时遵守这些条款。
NOW, THEREFORE, Promiser agrees to be bound by the following terms and conditions and undertakes to use or disclose Confidential Information it obtained directly or indirectly from Secco in accordance with this terms and conditions.
1. 定义 Definitions
“保密信息” ：为本保密承诺书目的，保密信息包括但不限于任何文件、口头交
流、设施、产品、技术和方法、演示、器材、设备、模型、任何种类的样本、计
算机程序、电磁媒介、说明书、集成电路版式、图样和/或其他任何媒体所包含
的、表现的或载有的，为赛科所拥有的、或与赛科或其业务有关的任何专利、设
计、技术诀窍、定价信息、商业秘密、财务信息、消费者和生产商关系、合同、
协议、信函和/或无形财产，无论该保密信息是否属于赛科的财产权利。
“Confidential Information” includes without limitation, for the purpose of this Letter of Undertakings, any patent, design, know-how, trade secrecy, information of pricing, financial information, customer and manufacturer relationship, contract,agreement, correspondence and/or other intangible property owned by or relating to SECCO or the business thereof, which is embodied in or in the form of or borne by any documents, oral communication, facilities，products，technique and process，demonstration，device，apparatus，model，sample of any kind，picture, computer program，magnetic medium, specification，circuit diagram，drawing, and/or any other Letter of undertakings on confidentiality 保密承诺书

media, regardless of whether such information is proprietary to SECCO or not.
2. 承诺 Undertakings
立约方特此承诺：
Promiser hereby undertakes:
2.1 仅限于赛科业务目的使用向立约方披露或提供的保密信息;
To use all the Confidential Information disclosed to or accessed by Promiser exclusively for the purpose of business of SECCO;
2.2 维护立约方通过任何方式获得的所有保密信息的保密性;
To maintain confidentiality all Confidential Information that Promiser may acquire in any way;
2.3 除非为本承诺书的目的并遵守本承诺书的规定，不直接或间接地使用或披
露全部或部分保密信息的任何内容;
neither directly nor indirectly to use or disclose any of Confidential Information in whole or in part save for the purposes of and in accordance with this Letter of Undertakings.
3. 例外规定 Exceptions
前述承诺不应适用于以下部分的保密信息：
The foregoing restrictions shall not apply to such portion of the Confidential Information which:
3.1 立约方能够向赛科提供证据证明，在向立约方披露之前，已为立约方所拥
有且立约方有权自由处置的有关保密信息;
can be proved by Promiser to SECCO that it was already in their possession and at their free disposal before disclosure to them;
3.2 立约方从赛科对其没有披露限制的第三方合法获得的有关保密信息;
is lawfully acquired by Promiser from a third party source without any restriction against further disclosure by Secco;
3.3 并非由于立约方过错或违约所导致的，公众可以普遍获得的有关保密信息。

3.4 根据中华人民共和国的强制性法律、法规、规则和/或司法解释，和/或法院
的命令，必须向有关的主管机关或任何第三方披露的有关保密信息，但前提是立
约方已经履行了以下义务：
Must, according to the mandatory laws, regulations, rules, and/or judicial interpretations of the People’s Republic of China, and/or upon the order of the court, be disclosed to the relevant authority or any third party，provided that Promiser has fulfilled the obligations as follows:
3.4.1 在披露保密信息之前及时书面通知赛科，立约方将在此规定下向主
管机关或第三方披露有关保密信息;
Gives in time to SECCO the prior written notice that Promiser is required to disclose the Confidential Information to the relevant authority or any third party;
3.4.2 立约方仅应在符合该等规定的最小范围内披露有关保密信息，并应
立即向赛科提供要求披露该资料的一切文本的副本;
Promiser shall only disclose such Confidential Information to the minimum extent required under such regulations herein and shall provide immediately copies of all documents requesting and disclosing such Confidential Information to SECCO;
3.4.3 尽管如此，立约方仍应尽最大努力维护保密信息的保密性。
Insofar as is possible Promiser shall maintain the confidentiality of the Confidential Information.
鉴于第三条的规定，立约方理解并同意，由赛科提供或披露的保密信息可能会包含一部分例外规定的内容，立约方承诺不得据此认为可以不承担保密义务，也不得将保密信息公开或占为己有，因为这会导致扩大泄露范围或导致交叉泄露。
In consideration of the provisions specified in Clause 3 herein, Promiser understands and agrees that the Confidential Information provided or disclosed by SECCO maybe be combined with a part of the foresaid exceptions. Promiser thereby undertakes not to be exempted from confidential obligations, nor shall Promiser make public or possess theirselves of these Confidential Information because it would induce to extension of disclosure or cross disclosure.
4. 保密措施 Confidentiality Measures
为了维护保密信息所具有的保密性质，立约方承诺：

In order to secure the confidentiality attached to the Confidential Information,Promiser undertakes:
4.1 将所有保密信息和立约方基于保密信息生成的所有信息与所有与赛科业务
无关的文件和其他记录分开保存;
To keep separate all the Confidential Information and all information generated by Promiser based thereon from all other documents and records irrelevant to the business of SECCO;
4.2 除非事先获得赛科的书面同意，不在任何外界可接触到的电脑或电子信息
检索系统中使用、复制、或存储保密信息的任何部分，或以任何形式或通过无论
何种方式将保密信息传输到外界可接触到的电脑或电子信息检索系统中;
Unless prior written consent has been obtained from SECCO, not to use, copy,transform, or store any of Confidential Information in the computer or electronic information retrieval system accessible by outside or transmit it in any form or by any means whatsoever to the computer or electronic information retrieval system accessible by outside;
4.3 除非事先获得赛科的书面同意，仅为赛科业务目的允许那些具有合理需要
的立约方员工看见或使用保密信息，并且应保证这些员工对其所收到的保密信息
按此处规定要求进行保密;
Unless prior written consent has been obtained from SECCO, to allow access to the Confidential Information exclusively to those employees of Promiser who have reasonable need to see and use it for the purposes of the business of SECCO and guarantee each of the said employees maintain confidentiality Confidential Information they receive according to the provisions hereunder;
4.4 除非事先获得赛科的书面同意，除了向履行相关工作的设计承包商、施工承包商或者设备供货商提供必要的基础资料以外，不得将保密信息向立约方以外的人员透露;但是立约方必须要求这些设计承包商、施工承包商以及供货商签订至少与本承诺书规定的保密义务同样严格的保密协议
Unless prior written consent has been obtained from SECCO, not to disclosed any of Confidential Information to others outside Promiser’s organization, except that limited disclosure may be made to engineering contractors, constructors, or equipment vendors on a need to know basic information to perform relevant work，provided that such contractors, constructors and vendors have executed a Confidentiality Agreement imposing them an obligation at least as stringent as the confidential obligations hereunder;

4.5 除非事先获得赛科的书面同意，仅在为赛科经营极为必要的范围内，制作保密信息的复本;
Unless prior written consent has been obtained from SECCO, to make copies of the Confidential Information only to the extent that the same is strictly required for the purposes of the business of SECCO;
4.6 根据赛科随时提出的要求，向赛科提交或销毁为立约方所拥有、保存或控制的，载有、包含或基于保密信息的任何部分的所有文件和其他材料;
On request of SECCO at any time, to deliver up to SECCO or destroy all documents and other material in their possession, custody or control that bear , incorporate or based on any part of the Confidential Information;
5. 保密期限 Term
立约方理解和同意：立约方在本保密承诺书项下承担的保密义务在立约方与赛科的____________________________________服务终止后______年内仍继续有效。Promiser understands and agrees that their confidential obligations hereunder shallremain binding for _____ years after the expiration of _____ ___ _service.
6. 权利 Right
除用于前述目的外，本承诺书并未授予立约方任何与保密信息或任何赛科知识产权相关的明确或暗示权利，本协议也不构成或不应理解为协议一方做出的与另一方签订进一步合约的承诺或意向。本协议双方之间的进一步合约应经双方一致同意后，以书面形式单独签订。
Unless for the purpose of the foresaid, this letter of undertaking on confidentiality shall not be construed as granting to Promiser any license or other rights, express or implied, in respect of Confidential Information or intellectual property of SECCO,and shall not be construed as undertaking or intent of one party to enter into any further contract with another party. Any further contract shall be solely entered into by the parties in written after reaching agreement.
7. 法律责任 Legal liability
立约方如有任何违约，应赔偿赛科因此而遭受的损害或损失，包括赛科索赔的费用。

expenses, and attorneys' fees incurred or suffered by Secco as a result of a breach of this Agreement by Promiser.
8. 其他 Miscellaneous
8.1 本承诺书及本承诺书的解释应适用中华人民共和国的法律。
This Letter of Undertakings shall be governed by and interpreted according to the laws of the People’s Republic of China.
8.2 本承诺书同时以中英文书写，以中文文本为准。
This Letter of Undertakings shall be made both in Chinese and English, and the Chinese version shall prevail.
8.3 本承诺书应对双方及其各自的执行者、管理者、代表、代理、职员、继承者及转让者均有约束力。
This Letter of Undertakings shall be binding upon the parties hereto and upon their respective executors, administrators, representatives, agents, employees, successors and assigns.
8.4 本承诺书正本一式两份，双方分别保存一份。
This Letter of Undertakings shall be issued in two (2) originals; the parties shall each hold one (1) original.
8.5 本承诺书于立约方在下方位置签名后生效。
This Letter of Undertakings shall come into force upon executed by Promiser hereunder.
